Our Privately-Held Businesses practice provides owners of private companies with experienced, knowledgeable and trusted outside general counsel legal services. The firm provides solutions to the full range of challenges private companies encounter during their life cycle, including business formation, contract review and shareholder matters. With the firm’s services, privately-held businesses can efficiently manage legal risk and obtain needed advice without the need to hire full-time in-house legal staff.

Financing & Capital Investment

Eli R. Shahmoon has extensive experience representing banks, capital markets participants and major borrowers on all aspects of simple and complex financing structures and a variety of financial products.  The firm counsels clients on personal and commercial loan transactions, product development and design, asset-based loans, interest rate swaps, and structured finance on both a secured and unsecured basis. The frim also regularly negotiates and documents co-lender and intercreditor arrangements.

Mergers & Acquisitions

The firm regularly represents clients in a variety of industries with respect to mergers, asset acquisitions and sales, stock acquisitions and sales, reorganizations, and joint ventures, as well as related financing transactions. Clients range in size from smaller private companies to public corporations.  The firm will address every aspect of the deal, from structuring the legal and financial terms of the transaction, to negotiating executive compensation, to transferring intellectual property, to retaining key employees.

Investment Funds & Venture Capital

Eli R. Shahmoon has extensive experience in investment funds and venture capital, both in-house and as outside counsel, providing premier investment management practice services for hedge funds, private equity funds, venture capital funds, and real estate investment funds. The firm also acts as on-call outside general counsel to fund managers, providing advice as-needed on federal and state adviser act registration; blue-sky questions; compliance matters; regulatory changes; and employment issues.

Eli R. Shahmoon

Over the course of his 20 year career, Eli Shahmoon has developed a multi-faceted practice advising clients that range from multi-billion-dollar hedge funds to small, fledgling tech start-up companies. He has diversified his experience across multiple industries including publishing, consumer products, and financial services. As a result of his advanced knowledge of all business models, his clients often turn to him when seeking operational and marketing guidance in addition to legal counsel.

Prior to launching his firm, Mr. Shahmoon worked at firms in both Los Angeles and New York. He began his career at Cravath, Swaine & Moore LLP, where he worked on mergers and acquisitions, public and private finance transactions, asset securitization and banking. Further in his career, he was a partner in Shahmoon & Ellisen LLP and Encore Law Group. Additionally, Mr. Shahmoon honed his business acumen while serving as Chief Operating Officer of Gandhara Capital Management in London, an international hedge fund management company with over $2 billion assets under management. ​
